• Technical consulting, support, and maintenance

Service scope, timeline, and deliverables are defined in the relevant client contract.

3. Eligibility and Acceptable Use

You agree not to use our website or services for:

• Any unlawful purpose under Bangladesh law
• Fraudulent, abusive, or harmful activity
• Uploading or transmitting malicious code
• Infringing intellectual property or confidentiality rights

We may suspend or restrict access if misuse is detected.

4. Client Responsibilities

Clients must:

• Provide accurate information and timely feedback
• Provide lawful rights to all materials, data, and content shared with us
• Cooperate on approvals, testing, and deployment steps
• Make payments according to agreed terms

Delays in client inputs may affect project timelines.

5. Fees, Invoicing, and Payment

• Fees are set out in the applicable proposal, contract, or invoice
• Payment terms (currency, due date, milestone schedule, taxes) are contract-specific
• Late payment may lead to service pause, delayed delivery, or late charges where legally permissible
• Unless explicitly stated, quoted fees exclude taxes, duties, bank charges, and government levies

6. Intellectual Property

Unless otherwise agreed in writing:

• Reverb Solution retains ownership of pre-existing tools, libraries, frameworks, and know-how
• Client-specific final deliverables transfer to the client after full payment
• Third-party components remain subject to their own licenses
• We may reference completed work in our portfolio unless restricted by NDA or contract

7. Data Protection and Privacy

Use of personal data is governed by our Privacy Policy and applicable Bangladesh law. Where required, we will process personal data according to written instructions, contractual safeguards, and legal obligations.

8. Confidentiality

Each party must keep confidential information private and use it only for permitted business purposes, unless disclosure is required by law or regulator order.

9. AI and Automated Features

Where AI-enabled outputs are part of service delivery:

• Outputs may require human review and validation
• You are responsible for final business decisions and deployment use
• We do not warrant that AI outputs are error-free or suitable for all legal/compliance contexts without review

10. Third-Party Services

Our services may depend on third-party providers (cloud, APIs, payment gateways, analytics, or communication tools). We are not liable for outages, policy changes, or failures caused solely by third-party services outside our reasonable control.

11. Warranties and Disclaimers

We will provide services with reasonable skill and care. Except as expressly agreed in writing, services are provided on an "as available" basis, and implied warranties are disclaimed to the extent allowed by law.

12. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, special, punitive, or consequential damages
• Total liability arising from a claim is limited to fees paid for the specific service giving rise to that claim during the applicable contract period, unless otherwise required by law

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

13. Suspension and Termination

We may suspend or terminate service access if:

• These Terms or project agreements are materially breached
• Payment obligations are not met
• Required by law or regulatory direction

Termination does not remove obligations accrued before termination, including payment and confidentiality.

14. Consumer and Legal Compliance

Where applicable, we aim to comply with Bangladesh legal and regulatory requirements, including relevant consumer, cyber, ICT, and digital commerce obligations. Nothing in these Terms limits non-waivable rights available under applicable law.

15. Changes to These Terms

We may revise these Terms periodically. Updated terms will be posted with a revised "Last Updated" date. Continued use after updates constitutes acceptance of the revised Terms.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of Bangladesh. Subject to mandatory legal requirements, disputes are subject to the competent courts of Dhaka, Bangladesh.
